Summary (for your convenience only — the full terms below govern): All purchases on ClavePrep are final. Once Claves (virtual credits) or any subscription, plan, or one-time fee have been purchased, the amounts paid are non-refundable and Claves cannot be exchanged for cash or transferred, except where a refund is strictly required by non-waivable applicable law. By completing a purchase, you expressly acknowledge and accept this policy.
This Refund Policy (the "Policy") governs all payments, purchases, and virtual credits ("Claves") made through the ClavePrep website, applications, and related services (collectively, the "Services"), which are operated by Vikpalla Software Private Limited ("ClavePrep," "we," "us," or "our"). This Policy forms an integral part of, and must be read together with, the ClavePrep Terms and Conditions and Privacy Policy. In the event of any conflict between this Policy and the Terms and Conditions with respect to refunds, the provisions most specific to refunds shall prevail.
1. Definitions
1.1 "Claves" means the virtual, prepaid credits issued by ClavePrep that may be purchased, earned, or granted and redeemed to access certain features, sessions, generations, or services within the platform. Claves are a limited, revocable, non-exclusive licence to access digital functionality; they are not money, legal tender, securities, stored-value instruments, or property, and they carry no cash value outside the Services.
1.2 "Subscription" means any recurring-access plan billed on a periodic basis (for example, monthly or annually) that grants access to paid features for the duration of the applicable billing cycle.
1.3 "One-Time Purchase" means any non-recurring payment for a specific feature, product, package of Claves, or service.
1.4 "Digital Content" means software-enabled functionality, AI generations, mock interview sessions, feedback, study materials, documents, and any other electronically delivered output supplied through the Services.
1.5 "Payment Processor" means any third-party payment gateway or financial institution engaged by ClavePrep to process transactions.
2. Acceptance and Scope
2.1 Binding Acceptance: By initiating, authorizing, or completing any payment for Claves, a Subscription, or a One-Time Purchase, you confirm that you have read, understood, and irrevocably agree to be bound by this Policy. If you do not agree to this Policy, you must not make any purchase through the Services.
2.2 Capacity: You represent and warrant that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement. Where a purchase is made on behalf of an entity, you represent that you are authorized to bind that entity.
2.3 Scope: This Policy applies to all amounts paid to ClavePrep through any channel, including in-app purchases, web checkout, and any invoiced arrangement, except to the extent a separate written agreement signed by an authorized officer of ClavePrep expressly states otherwise.
3. All Sales Are Final — No-Refund Policy
3.1 General Rule: To the fullest extent permitted by applicable law, all purchases made through the Services are final, non-cancellable, and non-refundable. Once a transaction has been completed and payment has been received by ClavePrep or its Payment Processor, the amounts paid will not be refunded, returned, credited (other than as the purchased Claves themselves), or reversed, whether in whole or in part.
3.2 No Refund for Non-Use or Partial Use: The fact that you have not used, or have only partially used, any Claves, Subscription, or feature does not entitle you to a refund. Lack of use, change of mind, dissatisfaction with results, failure to achieve a desired interview or employment outcome, or a determination that you no longer require the Services shall not constitute grounds for a refund.
3.3 No Refund Based on Outcomes: ClavePrep provides interview-preparation tools and AI-generated practice and feedback for educational and preparatory purposes only. We make no guarantee of any specific result, including any job offer, interview invitation, score, or hiring outcome. No refund will be granted on the basis that the Services did not produce a particular outcome.
4. Claves (Virtual Credits): Non-Refundable and Non-Transferable
4.1 Non-Refundability: All Claves are sold on a strictly non-refundable basis. Once Claves have been purchased, credited to your account, or redeemed, the amounts paid for them are non-refundable and cannot be exchanged, returned, or converted back into money or any other form of value.
4.2 No Cash Value: Claves have no monetary value outside the Services, are not redeemable for cash, and do not constitute a deposit, balance, or stored-value instrument of any kind. Claves cannot be sold, traded, gifted, assigned, sublicensed, or otherwise transferred to any other user, account, or third party.
4.3 Consumption: Claves are deemed consumed at the moment they are applied to any feature, generation, session, or service. Consumed Claves are not recoverable, and no refund or re-credit will be issued for Claves consumed in the ordinary course of using the Services, including where you are dissatisfied with the output produced.
4.4 Expiry and Forfeiture: Claves may be subject to an expiry period disclosed at the time of purchase or allocation. Upon expiry, or upon termination or suspension of your account in accordance with the Terms and Conditions, any unused Claves shall lapse and be forfeited without any obligation on ClavePrep to refund, extend, or compensate for them.
4.5 Promotional Claves: Claves granted free of charge, through promotions, bonuses, or goodwill gestures carry no cash value, are non-refundable in all circumstances, and may be modified, reduced, or revoked by ClavePrep at any time at its sole discretion.
5. Subscriptions, Auto-Renewal, and Cancellation
5.1 Recurring Billing: Subscriptions renew automatically at the end of each billing cycle at the then-current rate, using your designated payment method, until cancelled. By subscribing, you authorize ClavePrep and its Payment Processor to charge the applicable recurring fees.
5.2 Cancellation Stops Future Billing Only: You may cancel your Subscription at any time through your account settings or by contacting us. Cancellation prevents charges for subsequent billing cycles. Cancellation does not entitle you to a refund of fees already paid for the current or any prior billing cycle, and you will retain access to the paid features until the end of the cycle already paid for.
5.3 No Pro-Rata Refunds: ClavePrep does not provide partial, pro-rata, or prorated refunds for any unused portion of a billing cycle, downgrade, or mid-cycle cancellation, except where required by non-waivable applicable law.
5.4 Price Changes: ClavePrep may change Subscription prices on a going-forward basis. Where required, we will provide advance notice. Continued use after a price change takes effect constitutes acceptance of the revised price.
6. Digital Content and Waiver of Cancellation Rights
6.1 Immediate Performance: The Services consist of Digital Content and software-enabled functionality that are made available for immediate access and use upon purchase. You expressly request and consent to the immediate supply and commencement of the Services upon completion of your purchase.
6.2 Acknowledgment: To the extent any statutory cooling-off, withdrawal, or cancellation right would otherwise apply to the supply of digital content, you acknowledge and agree that, by requesting immediate access, such right is extinguished or waived upon the commencement of performance to the maximum extent permitted by applicable law, and that no refund will be due on that basis.
7. Limited Exceptions
7.1 Where Required by Law: Nothing in this Policy limits or excludes any refund or remedy that cannot be lawfully limited or excluded under the mandatory consumer protection laws applicable to you, including, where applicable, the Consumer Protection Act, 2019 of India. Where such non-waivable rights apply, this Policy operates only to the extent permitted by that law.
7.2 Duplicate or Erroneous Charges: If you are charged more than once for the same transaction due to a technical or processing error, or are charged an amount that is demonstrably incorrect and attributable to ClavePrep or its Payment Processor, the excess or erroneous amount will be refunded upon verification.
7.3 Non-Delivery: If, due to a verified fault solely attributable to ClavePrep, purchased Claves are not credited to your account or a paid feature is rendered entirely inaccessible for a sustained period and our support team is unable to remedy the failure, ClavePrep may, at its sole discretion, re-credit the affected Claves or, where re-crediting is not feasible, issue a refund limited to the amount paid for the affected, undelivered item.
7.4 Unauthorized Transactions: If you believe a charge resulted from unauthorized use of your payment method, you must notify us promptly so we can investigate in coordination with the Payment Processor. Approved refunds for verified unauthorized transactions will be processed in accordance with applicable law.
7.5 Discretionary Goodwill: Any refund, credit, or accommodation granted by ClavePrep outside the circumstances described above is made purely as a discretionary goodwill gesture, does not constitute a waiver of this Policy, and creates no precedent or obligation to grant similar accommodations in the future.
8. Refund Requests and Review Procedure
8.1 How to Submit: Any request that falls within the limited exceptions in Section 7 must be submitted in writing to contact@claveprep.com within seven (7) days of the transaction giving rise to the request. The request must include the account email, the transaction or order identifier, the date and amount of the charge, and a clear description of the basis for the request, together with any supporting evidence.
8.2 Review: All requests are subject to verification and approval by ClavePrep management. We may request additional information to evaluate a request. We aim to acknowledge requests within two (2) business days and to communicate a decision within a reasonable period thereafter.
8.3 Method and Timing of Approved Refunds:Where a refund is approved, it will be issued using the original payment method through the Payment Processor, in the original currency of the transaction. The time taken for the refunded amount to reflect in your account is governed by the Payment Processor and your financial institution and is outside ClavePrep's control. ClavePrep is not responsible for currency-conversion differences, payment-gateway charges, or bank fees deducted on refunds.
9. Chargebacks and Payment Disputes
9.1 Contact Us First: If you have a concern about a charge, you agree to contact ClavePrep before initiating a chargeback or payment dispute with your bank or card issuer, so that we may attempt to resolve the matter directly.
9.2 Effect of Chargebacks:Initiating a chargeback or dispute for a valid, completed transaction may, at ClavePrep's discretion, result in immediate suspension or termination of your account, forfeiture of any remaining Claves and access, and recovery of associated costs. ClavePrep reserves the right to contest any chargeback it considers improper and to present this Policy and transaction records as evidence.
10. Taxes
All fees are exclusive of applicable taxes, levies, or duties unless stated otherwise. Where a refund is issued under this Policy, any refund of tax will be made only to the extent permitted and recoverable under applicable tax law.
11. Governing Law and Dispute Resolution
This Policy is governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict-of-law principles. Any dispute arising out of or in connection with this Policy shall be resolved in accordance with the dispute-resolution and arbitration provisions set out in the ClavePrep Terms and Conditions, with the seat and venue of arbitration in Bangalore, India, and subject to the exclusive jurisdiction of the courts of Bangalore, India.
12. Changes to This Policy
ClavePrep reserves the right, at its sole discretion, to amend, modify, or replace this Policy at any time. Revisions become effective upon posting the updated Policy to the Services, unless otherwise stated. The Policy in effect at the time of your purchase governs that purchase. Your continued use of the Services after a revision becomes effective constitutes acceptance of the revised Policy.
